Biography:
David Parke is a member of the firm's Business and Finance Department. His practice is focused on general corporate and business matters, including mergers and acquisitions and other transactional work. His practice includes helping businesses and other organizations, and their owners or managers, with contractual, organizational, commercial, trade and any other matters that arise in the normal course of operations. This includes drafting and negotiating all types of agreements, and helping with all aspects of various transactions. David has represented clients in closing business acquisitions, and has served as general counsel or primary business counsel to large and small organizations, in different industries. In addition, he performs pro bono work for local nonprofit and civic organizations.
David has spoken at continuing legal education programs on topics relating to business practice including the Massachusetts Business Corporation Act (Chapter 156D), choice of entity, limited liability companies, business acquisitions, contract administration and other business-related subjects. He has, for several years, co-chaired the Massachusetts Bar Association Annual In-House Counsel Conference, and is a former member and chair of the Massachusetts Bar Association Business Law Section Council. David was a member of the Massachusetts General Laws Chapter 156D Task Force. He has also been selected by his peers for inclusion in The Best Lawyers in America® in the area of corporate law for the past 11 years and selected for inclusion in the Massachusetts Super Lawyers list published in New England Super Lawyers magazine from 2004 to 2006 and from 2010 to 2012.
He is currently on the board of the Affiliated Chambers of Commerce of Greater Springfield, Inc. and is also a member of the Massachusetts Continuing Legal Education, Inc. Business & Commercial Curriculum Advisory Committee.

Representative Experience:
Provided general business assistance including contract review, drafting and negotiation, distribution counseling, trade regulation and antitrust counseling, international law advice, intellectual property advice and assistance in other areas to manufacturing companies.
Helped clients to close more than 100 business acquisitions in the past 15 years by providing assistance on all phases of the acquisition process, including advice on acquisition issues and procedures, preparation of agreements and review and evaluation of due diligence.
Helped clients plan for the organization of their business activities, including advice regarding choice of appropriate entity, preparation of organizational documents and organization of the entity.
Helped nonprofit corporations with various matters relating to the organization and operation of nonprofit or tax exempt organizations.
Provided assistance to merchandising cooperatives with organization or reorganization issues.
