Scott W. Foster

Biography:

Scott Foster is a member of the firm's Business/Finance Department. His practice is focused on general corporate, business and finance matters including mergers and acquisitions and other commercial transactions.

Scott has represented numerous businesses and business owners in a wide variety of transactions, with a focus on representing both parties in stock and asset transactions and clients in financing transactions with commercial lenders and private investors. His experience also includes drafting and negotiating commercial contracts, leases, covenants not-to-compete, employment agreements, licensing contracts and supplier agreements. He is particularly attuned to the issues that face family owned businesses and has helped several such businesses through the transition between generations of ownership.

Scott is currently the Chairman of the Forest Park Zoological Society, Inc. (which manages the Forest Park Zoo), and is a past member of the Longmeadow Conservation Commission. He is also an active participant in the Massachusetts Bar Foundation and is the recipient of the Foundation's 2009 President's Award.


Representative Experience:

Represented rapidly growing companies and their principals through angel and first-round venture capital financing.

Counseled multiple manufacturing companies and their principals regarding all aspects of business, including purchase and sale of a division, purchase and sale of real estate used in business, employment issues, and negotiation of several contracts with suppliers, customers and key employees.

Operated as lead counsel on numerous stock and asset transactions for clients in a number of different industries with the size of the transaction ranging from below $500k to over $16MM. In the course of these transactions, drafted or revised commercial real estate leases, key employee employment agreements, covenants not to compete and escrow agreements.

Facilitated transfer of family-owned business among family members across three generations.

Represented several "start-up" companies from initial formation and capitalization across many industries.

Developed strategy for diversifying risks facing manufacturing company client and its principals, as well as counseling the company on routine contract and corporate matters.

Counseled several "closely held" businesses regarding stock restriction agreements, valuation issues and estate planning issues.
